1. GENERAL PROVISIONS
1.1. This document is an official proposal (a public offer within the meaning of Articles 633, 641 and 644 of the Civil Code of Ukraine) of MEDITEXT CONSULTING Limited Liability Company (EDRPOU 45551955, address: 53A Peremohy Ave., office 3-4, Kharkiv, 61201, Ukraine; the "Company") and at the same time sets out the Terms of Use of the website https://www.meditext.com.ua (the "Site").
1.2. It is addressed to an indefinite number of persons with legal capacity (the "User") who visit the Site or approach the Company about its services.
1.3. Use of the Site and the submission of enquiries mean that the User has read and accepts these Terms, the [Privacy Policy](https://www.meditext.com.ua/legal/privacy) and the [Cookie Policy](https://www.meditext.com.ua/legal/cookie).
2. SUBJECT MATTER
2.1. The Company provides information about its services — business-to-business consulting for healthcare facilities on preparing to take part in international clinical trials (readiness assessment, quality management system, ethics committee, staff training, site promotion, market analytics, SMO support) — and accepts enquiries from prospective clients.
2.2. The information on the Site, including service descriptions and indicative prices, is for information only. It is not individual advice, medical advice, a guarantee of any outcome, or a proposal to contract on particular terms within the meaning of Article 641 of the Civil Code of Ukraine. The specific terms of cooperation, the scope of work and the price are established by a separate written contract.
2.3. Acceptance. Full and unconditional acceptance of this offer in respect of services is the signing by the parties of a separate written contract for consulting services.
Submitting an enquiry through the Site, correspondence, receiving a commercial proposal or oral arrangements do not constitute acceptance and create no contractual obligations in respect of services. Until a contract is signed, the client is under no obligation and the Company is not obliged to provide services.
3. RIGHTS AND OBLIGATIONS
3.1. The User undertakes: to provide accurate information; not to use the Site for unlawful purposes; not to disrupt the operation of the Site or infringe the rights of third parties.
3.2. The User has the right: to receive information about the services; to contact the Company; to exercise the rights of a data subject in accordance with the Privacy Policy.

4.2. Use, copying or reproduction of the Site's materials without the Company's written consent is prohibited, except where permitted by law.
5. LIMITATION OF LIABILITY
5.1. The Site is provided "as is". The Company makes reasonable efforts to keep the information accurate but does not warrant that it is complete, current or fit for the User's particular purposes.
5.2. The Company is not liable for losses arising from an inability to use the Site for reasons beyond its control (network or equipment failures, acts of third parties), nor for the content of third-party resources linked from the Site.
5.3. The limitations in this section do not apply to intentional breach or gross negligence on the part of the Company. An agreement releasing a party from liability for intentional breach is void (Article 614(3) of the Civil Code of Ukraine).
5.4. This section concerns use of the Site. Liability for services provided is governed by the separate contract.
